These Terms and Conditions (“Terms”) govern your access to and use of our website and any online features or services that link to these Terms, including demo requests, downloads, accounts, and subscriptions (the “Services”). By using the Services, you agree to these Terms and to our Privacy Statement. If you do not agree, do not use the Services.
You must be at least 18 and able to enter a binding contract. If you use the Services for a company, you represent that you are authorized to bind that company to these Terms.
If you create an account or submit information, you agree it is accurate and complete and that you will keep it updated. You are responsible for safeguarding credentials and for all activity under your account.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business purposes. You may not reverse engineer, decompile, copy, modify, resell, or create derivative works of the Services.
Do not misuse the Services. Prohibited conduct includes unauthorized access, security testing without our written permission, introducing malware, scraping or harvesting data, interfering with operation, or using the Services to violate any law or others’ rights.
Some features are paid. By starting a paid plan, you authorize recurring charges to your payment method at the then-current rates until you cancel. Fees are billed in U.S. dollars, plus applicable taxes. If your payment fails, we may suspend or terminate access until payment is resolved.
If we offer a free trial, it lasts for the stated period. At the end of the trial, your plan will convert to a paid subscription unless you cancel before the trial ends.
Unless stated otherwise in writing for a specific offer, subscriptions and digital services are non-refundable. Cancel any time to stop future charges. Prorated credits are not provided.
We may change pricing, plans, or features with notice where required. Continued use after a change takes effect constitutes acceptance. If you do not agree, cancel before the change date.
The Services may integrate with or reference third-party tools, platforms, and payment processors. Your use of third-party services is governed by their terms and privacy policies. We are not responsible for third-party services.
Every company’s stack, data, and processes differ. Your results will vary. QASolve does not guarantee outcomes, savings, defect rates, test coverage, speed, or revenue. We do not provide tax, accounting, financial, or legal advice. Consult your professional advisors.
All content, software, features, logos, and documentation are owned by or licensed to QASolve and protected by intellectual property laws. Except for the limited license in Section 3, no rights are granted.
If you send ideas or suggestions, you grant us a non-exclusive, worldwide, royalty-free license to use them without restriction.
Your use of the Services is also governed by our Privacy Statement, which explains what we collect and how we use it, and by our Cookie Policy. For marketing communications, you can unsubscribe at any time. For SMS, reply STOP to cancel and HELP for help. Message and data rates may apply.
We use reasonable administrative, technical, and physical safeguards. No system is perfectly secure. You are responsible for securing your own systems and access.
The Services are provided “as is” and “as available.” We disclaim all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
To the fullest extent permitted by law, QASolve and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from or related to your use of the Services. Our aggregate liability for any claim is limited to the greater of one hundred U.S. dollars (USD $100) or the amounts you paid to QASolve for the Services during the three months before the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless QASolve and its personnel from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from your misuse of the Services, your content, or your violation of these Terms or applicable law.
If you believe content available through the Services infringes your copyright, send a notice identifying the work and the allegedly infringing material, your contact information, and a statement made under penalty of perjury that you are authorized to act. We will respond consistent with the Digital Millennium Copyright Act.
We may suspend or terminate access at any time, with or without notice, for any reason or no reason. Sections intended to survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
Any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration on an individual basis, except either party may bring an individual claim in small claims court. You waive the right to a jury trial and to participate in a class or representative action. Arbitration will be administered by the American Arbitration Association under its applicable rules. Venue and seat will be Norfolk County, Massachusetts, unless we agree otherwise. This section does not prevent a party from seeking temporary injunctive relief in court to protect intellectual property or confidential information.
You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, and you are not a restricted party. You will comply with applicable export control and sanctions laws.
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict rules. Subject to the arbitration requirement, the exclusive venue for any permitted court action is the state or federal courts located in Norfolk County, Massachusetts, and you consent to jurisdiction there.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
We may update these Terms from time to time. The “Last Updated” date shows the latest revision. Your continued use after changes take effect constitutes acceptance. If you do not agree, stop using the Services.
If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver of our right to do so later.
These Terms, the Privacy Statement, and the Cookie Policy are the entire agreement between you and QASolve regarding the Services and supersede prior or contemporaneous communications.
